Terms of Service

Last updated: 1/1/2026. These comprehensive terms of service ("Terms," "Agreement") constitute a legally binding agreement between you ("Client," "User," "you") and Initiative Tech Solutions Ltd ("Company," "we," "our," "us") governing your access to and use of our software development services, website, applications, and related services.

1. Acceptance of Terms

By accessing, browsing, or using any of our services, including but not limited to software development, web development, mobile application development, IT consulting, cloud services, and related offerings across Africa and internationally, you acknowledge that you have read, understood, and agree to be bound by these Terms.

These Terms apply to all visitors, users, clients, and others who access or use our services throughout Africa and worldwide. Initiative Tech Solutions Ltd serves clients across the African continent and beyond, providing technology solutions to businesses and organizations globally.

Electronic Agreement

These Terms constitute an electronic agreement between you and Initiative Tech Solutions Ltd, a Rwandan company serving clients across Africa and internationally. Your use of our services constitutes your acceptance of these Terms, which takes effect on the date on which you first use our services.

International Applicability

These Terms apply to clients and users from all African countries and international markets we serve, including but not limited to Rwanda, Kenya, South Africa, Nigeria, Ghana, Uganda, Tanzania, Ethiopia, and other African nations, as well as international clients outside the African continent.

2. Description of Services

Initiative Tech Solutions Ltd provides comprehensive technology solutions to clients across Africa and internationally, including:

  • Custom Software Development: Bespoke software solutions tailored to business needs across African markets
  • Web Development: Responsive websites, web applications, and e-commerce platforms for global reach
  • Mobile App Development: Native iOS and Android applications, cross-platform solutions for African markets

  • Database Solutions: Database design, optimization, and management for enterprises across Africa

Pan-African & Global Service Modifications: We reserve the right to modify, suspend, or discontinue any service, feature, or offering at any time without prior notice. We will make reasonable efforts to notify clients across all markets we serve of significant changes that may affect ongoing projects, taking into account different time zones and communication preferences.

3. Project Development and Delivery

Project Lifecycle

  • Requirements Gathering: Detailed analysis of your needs and project specifications
  • Project Planning: Timeline creation, milestone definition, and resource allocation
  • Design and Development: Creation of technical specifications and software implementation
  • Testing and Quality Assurance: Comprehensive testing and bug resolution
  • Deployment: Production deployment and go-live support
  • Post-Launch Support: Maintenance, updates, and ongoing assistance

Client Responsibilities

You agree to:

  • Provide accurate, complete, and timely information and materials
  • Designate qualified personnel for project communication and decision-making
  • Review and approve project deliverables within agreed timeframes
  • Provide access to necessary systems, data, and personnel as required
  • Participate in testing and quality assurance processes
  • Comply with all applicable laws and regulations in your jurisdiction

Delivery Timeframes

Project delivery dates are estimates based on information available at project initiation. We will make reasonable efforts to meet agreed deadlines, but we are not liable for delays caused by factors outside our reasonable control, including but not limited to client delays in providing feedback, materials, or approvals.

4. Pricing and Payment Terms

Fee Structure

  • Project-Based Pricing: Fixed fees for defined deliverables and milestones
  • Time and Materials: Hourly or daily rates for ongoing development work
  • Retainer Agreements: Monthly fees for ongoing support and maintenance
  • Consulting Rates: Hourly fees for strategic guidance and consultation

Payment Terms

  • Payment due within 30 days of invoice date unless otherwise agreed
  • Late payments may incur interest charges at 1.5% per month
  • Project initiation may require advance payment or deposit
  • Final deliverables may be withheld until full payment is received
  • All fees are exclusive of applicable taxes unless otherwise stated

Expense Reimbursement

Clients agree to reimburse reasonable expenses incurred during project execution, including but not limited to travel costs, third-party software licenses, hosting fees, and specialized equipment required for project completion.

5. Intellectual Property Rights

Company Intellectual Property

All intellectual property rights in our methodologies, tools, frameworks, proprietary software, and development processes remain the exclusive property of Initiative Tech Solutions Ltd. This includes but is not limited to:

  • Development methodologies and project management frameworks
  • Code libraries, utilities, and reusable components
  • Technical documentation and knowledge bases
  • Brand assets, trademarks, and service marks

Client-Owned Deliverables

Upon full payment and completion of the project, clients receive ownership of custom-developed software, applications, and related deliverables created specifically for their use, subject to the following conditions:

  • Full ownership transfers only after complete payment is received
  • We retain the right to use anonymized project data for portfolio purposes
  • Open source components remain subject to their respective licenses
  • We may retain copies of deliverables for backup and support purposes

Third-Party Components

Any third-party software, libraries, APIs, or services incorporated into deliverables remain subject to their original license terms. We will inform you of any third-party licensing requirements and obtain necessary permissions where applicable.

6. Confidentiality and Non-Disclosure

Both parties agree to maintain the confidentiality of proprietary and sensitive information disclosed during the course of our business relationship:

Protected Information

  • Business strategies, plans, and financial information
  • Technical specifications and trade secrets
  • Customer data and project-related information
  • Software source code and development methodologies
  • Any information marked as "confidential" or "proprietary"

Exclusions

Confidentiality obligations do not apply to information that:

  • Is or becomes publicly available through no fault of the receiving party
  • Was already known to the receiving party before disclosure
  • Is independently developed by the receiving party
  • Is required to be disclosed by law or court order

Duration

Confidentiality obligations remain in effect for the duration of our business relationship and for a period of 3 years following termination of services, unless otherwise agreed in writing.

7. Warranties and Representations

Service Warranties

We warrant that:

  • Services will be performed in a professional and workmanlike manner
  • Deliverables will conform to agreed specifications for 90 days after delivery
  • We have the necessary skills, experience, and resources to complete projects
  • All services comply with applicable industry standards and best practices

Client Representations

You represent and warrant that:

  • You have authority to enter into this agreement
  • All information provided is accurate and complete
  • You own or have rights to all materials provided for the project
  • Use of provided materials does not infringe third-party rights

Disclaimer

Important: Except as expressly provided above, all services are provided "as is" without warranty of any kind. We disclaim all other warranties, whether express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

8. Limitation of Liability

General Limitation

To the maximum extent permitted by applicable law, Initiative Tech Solutions Ltd's total liability for any claim arising from or related to our services shall not exceed the total amount paid by you for the specific services giving rise to the claim.

Excluded Damages

In no event shall we be liable for:

  • Indirect, incidental, special, or consequential damages
  • Loss of profits, revenue, data, or business opportunities
  • Cost of substitute goods or services
  • Business interruption or downtime costs
  • Third-party claims or damages

Exception

The foregoing limitations do not apply to damages resulting from gross negligence, willful misconduct, or breach of confidentiality obligations.

9. Indemnification

You agree to indemnify, defend, and hold harmless Initiative Tech Solutions Ltd, our officers, directors, employees, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable attorney's fees) arising from or related to:

  • Your use of our services or violation of these Terms
  • Any materials, content, or information you provide
  • Infringement of third-party intellectual property rights
  • Breach of confidentiality or data protection obligations
  • Violation of applicable laws or regulations

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense.

10. Data Protection and Privacy

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

Data Handling

  • We implement appropriate technical and organizational measures to protect your data
  • Access to personal information is limited to authorized personnel only
  • We comply with applicable data protection laws and regulations
  • Project data may be stored on secure servers in Rwanda or other jurisdictions

Data Retention

We retain project-related data for the duration necessary to provide services and comply with legal obligations. Upon project completion, we may retain certain information for backup, audit, and support purposes.

11. Termination and Suspension

Termination by Client

You may terminate services at any time by providing written notice. You remain responsible for payment of all services rendered and expenses incurred up to the date of termination.

Termination by Company

We may terminate or suspend services immediately if:

  • You breach these Terms or any other agreement with us
  • You fail to make payments when due
  • You engage in unlawful or unethical conduct
  • Continued provision of services becomes commercially unreasonable
  • Required by law or court order

Effect of Termination

Upon termination, you must cease using our services and return or destroy all confidential information. Provisions relating to intellectual property, liability limitations, indemnification, and governing law survive termination.

12. Dispute Resolution

Negotiation

In the event of any dispute arising from or related to these Terms or our services, the parties agree to first attempt to resolve the matter through good faith negotiations, taking into account the international nature of our client base across Africa and beyond.

Mediation

If negotiation fails, disputes may be submitted to mediation in a mutually agreed location, preferably Kigali, Rwanda, before pursuing other remedies. For international clients, virtual mediation options are available. Each party bears its own mediation costs.

Arbitration

Unresolved disputes shall be finally settled by binding arbitration in accordance with internationally recognized arbitration rules. The arbitration location will be determined based on the client's primary place of business:

  • African Clients: Kigali International Arbitration Center (KIAC) in Rwanda
  • International Clients: International Chamber of Commerce (ICC) or LCIA
  • Virtual Options: Online arbitration platforms for cross-border disputes

Governing Law

These Terms are governed by the laws of the Republic of Rwanda as our company headquarters, while respecting applicable local laws in client jurisdictions across Africa and internationally. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

International Flexibility: For clients outside Rwanda, we recognize that local laws may provide additional protections. We will always comply with mandatory local consumer protection laws and regulations in your jurisdiction.

13. Force Majeure

Neither party shall be liable for any failure or delay in performance under these Terms if such failure or delay is caused by circumstances beyond reasonable control, including but not limited to:

  • Natural disasters, fires, floods, or severe weather conditions
  • Wars, terrorist acts, civil unrest, or government actions
  • Epidemics, pandemics, or public health emergencies
  • Power outages, telecommunications failures, or internet disruptions
  • Strikes, labor disputes, or other industrial actions
  • Shortages of materials, equipment, or qualified personnel

The affected party must promptly notify the other party and make reasonable efforts to mitigate the impact of such events.

14. Changes to Terms

We reserve the right to modify these Terms at any time to reflect:

  • Changes in our business practices or service offerings
  • Legal or regulatory requirements
  • Technological advancements or security improvements
  • Clarifications or improvements to existing terms

Notification

We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. For significant changes, we may also send email notifications to registered users.

Acceptance of Changes

Your continued use of our services after the effective date of changes constitutes acceptance of the modified Terms. If you do not agree to the changes, you must discontinue using our services.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.

The unenforceable provision shall be modified to the minimum extent necessary to make it enforceable while preserving the original intent of the parties.

16. Entire Agreement

These Terms, together with any project-specific agreements, statements of work, and our Privacy Policy, constitute the entire agreement between you and Initiative Tech Solutions Ltd regarding our services.

These Terms supersede all prior agreements, understandings, and communications, whether written or oral, relating to the subject matter herein.

17. Waiver

No waiver of any provision of these Terms shall be effective unless in writing and signed by both parties. The failure to enforce any right or provision shall not constitute a waiver of such right or provision in the future.
